long con magazine Publication Agreement

By accepting an offer of publication of specified text(s), image(s), audio(s), video(s), and/or interactive media (the “Work”) in a specified issue of long con magazine (the “Issue”), the creator or creators of the Work (the “Contributor”) enter into the following agreement with long con magazine publisher Andy Verboom of Halifax, Nova Scotia (the “Publisher”).

Grant of Rights

  1. The Contributor grants the Publisher rights to include the Work in the Issue, which shall be published electronically.
  2. The Contributor also grants the Publisher rights to use the following material for the purposes of electronic promotion and publicization of the Work and/or the Issue:
    • excerpts from the Work;
    • Contributor name(s) as provided by the Contributor; and
    • biographical and artist’s statement materials as provided by the Contributor, with the exclusion of any materials explicitly marked as confidential.
  3. If the Work is primarily textual, as ultimately determined by the Publisher and communicated in the offer of publication, this grant of rights entails the licensing of exclusive First World Digital Rights and exclusive First World Periodical Rights to the Publisher until the official publication date of the Issue, after which these rights shall be non-exclusive and perpetual.
  4. If the Work is primarily image, audio, video, or interactive, as ultimately determined by the Publisher and communicated in the offer of publication, this grant of rights entails the licensing of exclusive First World Periodical Rights to the Publisher until the official publication date of the Issue, after which these rights shall be non-exclusive and perpetual.
  5. The Contributor retains all rights to the Work not specified in this agreement.


Payment

  1. The Publisher shall pay the Contributor $20 Canadian to license the Work. Payment shall be remitted by E-transfer to the email address provided by the Contributor no more than 5 days after the Issue’s official publication date.


Alterations

  1. The Publisher shall make no changes to the Work or to the biographical and artist’s statement materials provided by the Contributor, either prior or subsequent to the Issue’s official publication date, without the express written approval of the Contributor.
  2. The Publisher shall send the Contributor a proof of the Work and of the biographical and artist’s statement materials no less than 5 days prior to the Issue’s official publication date. The Publisher shall make all corrections to the Work and to the biographical and artist’s statement material provided by the Contributor, whether provided prior or subsequent to the Issue’s official publication date.
  3. Notwithstanding the above, the Publisher reserves the right to make and to retain copy-editing and formatting changes to the Work and to the biographical and artist’s statement materials, either prior or subsequent to the Issue’s official publication date, to ensure conformity to standard Canadian spelling and grammar, to long con magazine’s standard formatting, and to principles of responsive electronic design.

Contributors’ Warranties and Indemnities

  1. The Contributor represents and warrants the following:
    • that they are the only creator(s) of the Work;
    • that the creation of the Work did not involve any generation or modification by large language models, diffusion models, other so-called “AI” models, or other automated plagiarism programs, services, or tools, with the exception of such programs, services, and tools divulged by the Contributor upon initial submission of the Work to long con magazine;
    • that no one has previously reserved the rights granted in this agreement;
    • and that, to the best of their knowledge, the Work does not contain any libelous material, does not violate any rights of privacy or any other rights of third persons, and does not violate any existing common law or statutory copyrights.
  2. The Contributor agrees to hold the Publisher harmless against any judgement finally sustained that the Work contains libel, plagiarism, and/or invasion of privacy.


Termination of Agreement

  1. If the Publisher fails to publish the Work within 3 months of the date of the publication offer, all rights granted hereunder shall immediately revert to the Contributor and the Contributor shall retain any payments already made under this agreement.
  2. The Contributor may terminate this agreement prior to the Issue’s official publication date upon written notice to the Publisher and, if applicable, return of any payment to the Publisher.
  3. The Publisher may terminate this agreement prior or subsequent to the Issue’s official publication date upon written notice to the Contributor and, if applicable, remittance of any outstanding payment to the Contributor.


The parties acknowledge that each party has read and understood this contract before execution.
